You must be at least 18 years old to use Frank Rabbit.

If you use Frank Rabbit on behalf of a company, organisation or client, you confirm that you have authority to bind that organisation to these Terms and to manage the social media accounts connected to Frank Rabbit.

You must provide accurate account information and keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account or workspace.

You must notify us promptly if you suspect unauthorised access to your account.

We may refuse registration, suspend accounts or restrict access where we reasonably believe there has been a breach of these Terms, misuse of the service, security risk or unlawful activity.

Frank Rabbit may be made available through trial, beta, early-access or paid plans.

We may modify, suspend or discontinue parts of the service from time to time, including features that depend on third-party platforms or APIs.

We will try to provide reasonable notice of material changes where practical, but some changes may be required immediately for security, legal, operational or third-party platform reasons.

Frank Rabbit allows you to connect supported third-party platforms, which may include LinkedIn, Instagram, TikTok, YouTube and other services.

You are responsible for ensuring that:

• you have authority to connect each social account, page, profile, channel or organisation;
• your use of Frank Rabbit complies with the terms and policies of each connected platform;
• any content you publish complies with applicable laws and platform rules;
• you do not use Frank Rabbit to mislead, spam, manipulate engagement or violate third-party rights.

Frank Rabbit’s integrations depend on third-party APIs and permissions. We are not responsible for changes, outages, limits, restrictions, review decisions, policy changes or data availability imposed by third-party platforms.

We do not guarantee that all social platforms, features, publishing options or analytics metrics will be available at all times.

You are responsible for all content created, uploaded, scheduled, approved or published through your Frank Rabbit account.

Frank Rabbit may publish content to connected social accounts where an authorised user has created, scheduled, approved or otherwise requested that action.

You are responsible for checking scheduled content, publication times, target accounts, captions, media, links and settings before publication.

We are not responsible for missed posts, failed posts, duplicate posts, formatting differences, platform rejections or delays caused by third-party platforms, incorrect user settings, unavailable APIs, account restrictions, expired tokens, connectivity issues or force majeure events.

Frank Rabbit may display analytics and performance data from connected social media platforms.

Analytics data may be delayed, incomplete, estimated, rounded, sampled, changed or unavailable depending on the connected platform, permissions, account type and API access.

Frank Rabbit provides analytics for informational purposes only. We do not guarantee specific business, marketing, financial or growth outcomes.

You retain ownership of the content you create, upload, schedule or publish through Frank Rabbit.

You grant Frank Rabbit a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, display, modify, transmit and share your content solely as needed to provide, secure, improve and support the service, including publishing content to connected social platforms at your request.

You confirm that you have all rights, permissions and licences needed to upload, use, schedule and publish your content through Frank Rabbit.

You must not use Frank Rabbit to:

• break the law or encourage unlawful activity;
• infringe intellectual property, privacy, publicity or other rights;
• publish spam, scams, phishing content, malware or deceptive content;
• harass, threaten, abuse or exploit others;
• publish content that is hateful, discriminatory, defamatory or unlawfully harmful;
• manipulate platform metrics, engagement, rankings or algorithms;
• attempt to bypass platform rules, API limits or review requirements;
• scrape, harvest or misuse data from social platforms;
• reverse engineer, interfere with or disrupt Frank Rabbit;
• access accounts, systems or data without permission;
• upload malicious code or attempt to compromise security;
• use Frank Rabbit in a way that damages our reputation, systems, users or third-party platforms.

We may remove content, restrict features, suspend accounts or terminate access if we reasonably believe these Terms have been breached.

If you subscribe to a paid plan, you agree to pay the fees shown at the time of purchase or subscription.

Fees, billing periods, plan limits and included features will be shown on our website or in the platform.

Unless stated otherwise, fees are exclusive of VAT and other taxes.

Subscriptions may renew automatically unless cancelled before the renewal date. You are responsible for cancelling any subscription you no longer wish to use.

We may change pricing or plan features from time to time. Where required, we will give reasonable notice before changes apply to your existing subscription.

Frank Rabbit may offer trial, beta or early-access versions of the service.

Beta or early-access features may be incomplete, experimental, unstable or subject to change. We may modify or withdraw beta features at any time.

You should not rely on beta or early-access features for critical business operations unless we have expressly agreed otherwise in writing.

Frank Rabbit and its software, design, branding, logos, code, workflows, documentation and content are owned by Frank Rabbit or its licensors.

Except for rights expressly granted in these Terms, you do not receive any ownership rights in Frank Rabbit.

You must not copy, resell, sublicense, modify, reverse engineer or create derivative works from Frank Rabbit unless permitted by law or agreed by us in writing.

If you provide feedback, suggestions or ideas about Frank Rabbit, you grant us permission to use them without restriction or payment to you.

Our handling of personal data is described in our Privacy Policy.

Where Frank Rabbit processes personal data on your behalf as a processor, additional data processing terms may apply. If you require a data processing agreement, contact us here.

You are responsible for ensuring that your use of Frank Rabbit complies with applicable data protection laws, including where you upload, schedule or publish content containing personal data.

If either party receives confidential information from the other, it must use reasonable care to protect that information and must not use or disclose it except as needed to perform obligations under these Terms, comply with law or exercise legal rights.

We aim to provide a reliable service but do not guarantee that Frank Rabbit will be uninterrupted, error-free or available at all times.

Support may be provided by email, in-app support or other channels we make available.

We may perform maintenance, updates or emergency fixes that temporarily affect availability.

Frank Rabbit integrates with third-party platforms and service providers. Your use of those services is subject to their own terms, policies and availability.

We are not responsible for third-party services, APIs, content, data, outages, decisions, account restrictions or policy changes.

You may stop using Frank Rabbit at any time.

We may suspend or terminate your access if:

• you breach these Terms;
• you fail to pay fees when due;
• your use creates security, legal, operational or reputational risk;
• a connected platform requires us to restrict access;
• we are required to do so by law;
• we discontinue the service or relevant plan.

On termination, your right to use Frank Rabbit ends. We may delete or disable your account and data in accordance with our Privacy Policy and retention practices.

Frank Rabbit is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we exclude all warranties, representations and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not guarantee that Frank Rabbit will meet your requirements, achieve any particular result, increase engagement, improve social performance, prevent account restrictions or remain compatible with all third-party platforms.

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to the above, Frank Rabbit will not be liable for:

• loss of profits, revenue, business, goodwill or opportunity;
• loss, corruption or unavailability of data;
• failed, delayed, rejected or incorrect social media posts;
• third-party platform changes, outages, restrictions or API limitations;
• indirect, consequential or special losses.

Subject to the above, Frank Rabbit’s total liability arising out of or relating to the service will be limited to the greater of:

• the amount you paid to Frank Rabbit in the three months before the event giving rise to the claim; or
• £100.

You agree to indemnify Frank Rabbit against claims, losses, damages, liabilities, costs and expenses arising from:

• your content;
• your use of Frank Rabbit;
• your breach of these Terms;
• your breach of third-party platform terms;
• your infringement of third-party rights;
• your unlawful or unauthorised use of connected social accounts.

We may update these Terms from time to time.

If we make material changes, we will take reasonable steps to notify users, such as by posting an update on our website or in the platform.

Your continued use of Frank Rabbit after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms, unless applicable law requires otherwise.
